PLEASE READ THESE TERMS OF USE CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY AND, IF ADOPTED AFTER LEGAL REVIEW, A DISPUTE-RESOLUTION PROVISION.

1. Acceptance of These Terms

These Terms of Use (the “Terms”) govern your access to and use of TopFundings.com, its subdomains, landing pages, forms, comparison tools, content, and related services (collectively, the “Site”). The Site is owned and operated by Kolmind Ltd., an Israeli company, company number 516266269, doing business as TopFundings (“TopFundings,” “we,” “us,” or “our”). Kolmind Insurance Services Inc. is a wholly owned U.S. subsidiary of Kolmind Ltd. and serves as TopFundings’ U.S. mailing contact.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and the policies expressly incorporated into them. If you do not agree, do not access or use the Site.

Certain Site features require additional, separate consents. Your acceptance of these Terms alone does not authorize TopFundings or any third party to obtain a consumer report about you, and it does not constitute consent to receive marketing calls or text messages. Any such authorization or consent will be requested separately, where required, using language presented at the relevant point in the Site experience.

2. Eligibility and Permitted Use

You must be at least 18 years old, be legally capable of entering into a binding agreement, and use the Site only for lawful purposes. The Site is intended primarily for persons located in the United States. You may use the Site only for your own personal or legitimate business financing needs, as applicable to the product category you select.

You represent that all information you provide is accurate, current, complete, and relates to you or to a business that you are legally authorized to represent. You may not impersonate another person or submit information concerning another consumer without lawful authority.

3. What TopFundings Does

TopFundings provides educational content, comparisons, reviews, advertising-supported listings, eligibility tools, and matching services designed to help users identify third-party financial products or service providers that may be relevant to their stated needs.

Some Site features allow you to submit information in order to receive a recommendation, preliminary eligibility result, comparison, or introduction to one or more third-party providers, platforms, lenders, brokers, marketplaces, service providers, or technology vendors (collectively, “Partners”). We refer to this submission as a “Match Request.”

A Match Request is not a loan application, mortgage application, credit application, or binding request for any financial product. You may be required to complete a separate application directly with a Partner. A Partner may request additional information, verify information, perform underwriting, obtain a consumer report under its own lawful authority, or apply its own eligibility criteria.

4. TopFundings Is Not a Lender, Creditor, or Financial Adviser

Unless a specific Site page expressly states otherwise, TopFundings is not a lender, creditor, mortgage broker, loan broker, debt-relief provider, credit-repair organization, consumer reporting agency, investment adviser, insurance carrier, or financial institution. TopFundings does not originate or fund loans, extend credit, make underwriting or credit decisions, determine approval, set rates or fees, issue commitments, negotiate debts, or guarantee any result.

TopFundings does not act as your agent, fiduciary, financial adviser, legal adviser, tax adviser, or representative. Site content is provided for general informational and commercial-comparison purposes only and is not individualized financial, legal, tax, investment, or professional advice.

5. Match Requests and Partner Relationships

When you submit a Match Request, you ask us to use the information you provide to identify, display, or connect you with Partners that may be relevant to your request. Matching may be based on information you submit, Partner criteria, product availability, geography, commercial relationships, expected user experience, historical performance, or other business and analytical factors.

A match, ranking, recommendation, prequalification message, or eligibility indication does not guarantee approval, funding, savings, a particular rate, or any other outcome. All product availability, underwriting, approval, rates, fees, repayment terms, and final decisions are controlled by the applicable Partner and are subject to that Partner’s separate terms and policies.

If you choose to continue with a Partner, your relationship and any transaction are solely between you and that Partner. You are responsible for reviewing the Partner’s disclosures, licenses, terms, privacy policy, rates, fees, and other conditions before proceeding.

6. Consumer Reports and Credit Information

Certain Site experiences may offer a credit-informed matching feature. In that feature, Array US, Inc. (“Array”), a third-party technology provider, obtains consumer-report information from one or more consumer reporting agencies in the backend after the user provides separate written instructions. TopFundings does not itself obtain the consumer report directly from a consumer reporting agency.

This inquiry through Array is a soft inquiry: it does not affect your credit score.

Before Array obtains any consumer-report information, you will be presented with a separate, conspicuous Credit Authorization near the action button. The Credit Authorization will identify Array as the entity authorized to obtain the information, describe the permitted purpose, identify the categories of information that may be obtained or shared, and confirm that the inquiry is a soft inquiry that does not affect your credit score.

If you choose to proceed, clicking “Agree and Get My Rates” constitutes your electronic signature to the separate Credit Authorization and your written instructions under the Fair Credit Reporting Act authorizing Array, acting in connection with TopFundings, to obtain information about you from one or more consumer reporting agencies for the purposes disclosed in that authorization, including evaluating eligibility, matching you with relevant offers, and displaying results on the TopFundings results or thank-you page.

After you click “Agree and Get My Rates,” Array performs the authorized request in the backend and the Site redirects you to a TopFundings results or thank-you page where an offer or other matching result may be displayed. A result is not a guarantee of approval, funding, or particular terms.

Your agreement to these Terms, submission of a basic Match Request, or general acknowledgment that research may occur is not, by itself, an instruction to obtain a consumer report. If you do not affirmatively click “Agree and Get My Rates” after being presented with the separate Credit Authorization, the Array credit-informed feature will not be initiated, although non-credit-based Site features may remain available.

TopFundings is not a consumer reporting agency and does not prepare consumer reports. Consumer-report information is provided by third parties and may contain errors or be incomplete. If you have questions or believe information used in the credit-informed matching feature is inaccurate, contact TopFundings support first at support@spotower.com. We will escalate the matter to Array, which will advise whether it can be resolved directly or should be directed to the applicable consumer reporting agency or furnisher. See our Privacy Policy, Section 5, for a fuller description of your rights under the Fair Credit Reporting Act and how to dispute information on your consumer report.

7. Communications and Separate Marketing Consent

You may provide an email address or telephone number in connection with a Match Request. We may use those details to deliver non-marketing communications that you request or that are reasonably necessary to complete the Site interaction, such as verification messages, security notices, or a response to your inquiry, as permitted by law.

Marketing calls, marketing text messages, artificial or prerecorded voice messages, or communications using an automatic telephone dialing system will be made only where permitted by applicable law and, when required, after you provide a separate, clear, and conspicuous consent identifying the seller or sellers authorized to contact you. Consent to marketing is not a condition of using the Site or obtaining any product or service.

Message frequency may vary. Message and data rates may apply. You may opt out of TopFundings marketing texts by replying STOP and may request help by replying HELP. An opt-out sent to TopFundings applies to TopFundings. To stop communications from a Partner, you may also need to contact that Partner directly. We will honor opt-out requests as required by law.

8. Electronic Records and Signatures

Certain transactions or consents may be presented electronically. Where legally required, we will provide a separate E-SIGN Consent describing the hardware and software requirements, how to obtain paper copies, how to withdraw consent, and the scope of electronic records covered. When the E-SIGN Consent, Credit Authorization, Privacy Policy, and these Terms are presented near the “Agree and Get My Rates” button, clicking that button constitutes the electronic action described in those disclosures. Acceptance of these Terms alone does not replace the separate E-SIGN Consent or Credit Authorization.

9. Advertising Disclosure, Rankings, and Compensation

TopFundings is an advertising-supported comparison and lead-generation site. We may receive compensation when a Partner is displayed, when you click a link, submit a Match Request, contact a Partner, qualify for an offer, or acquire a product or service. Compensation may affect which Partners appear, their placement, and the order or score assigned to them.

We do not include every provider or product available in the market. A listing, score, badge, review, or ranking does not constitute an endorsement or a representation that a product is best for every user. Partner information, rates, terms, availability, and promotional offers may change without notice. You should verify material information directly with the Partner. We do not represent that any displayed Partner is the best, lowest-cost, or most suitable option available in the market, and placement, ranking, or score should not be relied on as a personalized recommendation.

10. Information You Provide

You agree to provide accurate, complete, and current information and to update it when necessary. You authorize us to process and share the information you submit as described in the Privacy Policy and any just-in-time disclosure shown with the relevant form.

You may not submit information that is unlawful, fraudulent, infringing, malicious, or designed to interfere with the Site. We may decline, suspend, or terminate a Match Request if we reasonably suspect fraud, misuse, security risk, or violation of these Terms.

11. Privacy and Cookies

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information, and describes privacy rights that may apply to you. Our Cookie Policy explains how cookies and similar technologies are used and how available preferences may be managed. Those policies are incorporated into these Terms by reference.

12. Third-Party Sites, Services, and Content

The Site may display or link to websites, products, tools, content, and services operated by third parties. We do not control those third parties and are not responsible for their content, security, availability, privacy practices, terms, representations, products, or services. A link or display does not imply endorsement.

When you leave the Site or interact with a Partner, the Partner’s terms and privacy policy govern. You assume responsibility for reviewing them and deciding whether to proceed.

13. Site Content and Information Accuracy

We use reasonable efforts to provide useful information, but we do not warrant that Site content is accurate, complete, current, error-free, or suitable for your circumstances. Financial products and eligibility criteria can change quickly, and information supplied by Partners may change without notice.

You should independently confirm rates, fees, terms, licensing, availability, and other material information with the applicable Partner and consult qualified professionals before making a financial decision.

14. Intellectual Property

The Site and its content, design, software, text, graphics, logos, trademarks, interfaces, data compilations, and other materials are owned by or licensed to TopFundings and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for its intended purpose.

Except as permitted by law or with our prior written consent, you may not copy, reproduce, modify, distribute, sell, license, scrape, frame, mirror, create derivative works from, publicly display, or commercially exploit any part of the Site.

15. Prohibited Conduct

You may not:

• use the Site for an unlawful, fraudulent, deceptive, abusive, or unauthorized purpose;
• submit false information, impersonate another person, or access another person’s information without authority;
• use automated systems, bots, spiders, scrapers, or data-mining tools except as expressly authorized in writing;
• circumvent security or access controls, probe vulnerabilities, or interfere with Site operation;
• introduce malware, malicious code, or harmful material;
• reverse engineer, decompile, or attempt to derive Site source code except where such restriction is prohibited by law; or
• use Site content or data to train, develop, or improve a competing product, model, or service without written permission.

16. Availability, Changes, and Termination

We may modify, suspend, restrict, or discontinue any part of the Site at any time. We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free. We may terminate or restrict your access if we reasonably believe you violated these Terms or created risk for us, our users, or third parties.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, MATCHING, RECOMMENDATIONS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TOPFUNDINGS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND AVAILABILITY.

WE DO NOT WARRANT OR GUARANTEE THAT YOU WILL BE MATCHED, APPROVED, FUNDED, OFFERED A PARTICULAR RATE OR TERM, SAVE MONEY, IMPROVE YOUR CREDIT, RESOLVE DEBT, OR ACHIEVE ANY PARTICULAR RESULT. WE DO NOT WARRANT THAT ANY PARTNER OFFER IS THE BEST OR LOWEST-COST OPTION AVAILABLE.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPFUNDINGS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SITE, THESE TERMS, A PARTNER, OR ANY PRODUCT OR SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNT YOU PAID DIRECTLY TO TOPFUNDINGS, IF ANY, DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TopFundings and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the Site, information you submit, violation of these Terms, or infringement of another person’s rights.

20. Disputes, Governing Law, and Venue

These Terms and any dispute arising from them will be governed by the laws of the State of Israel, without regard to conflict-of-law principles, and subject to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa, Israel, except where applicable consumer law requires otherwise. These Terms do not require arbitration and do not include a class-action waiver.

21. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a revised “Last Updated” date. Changes become effective when posted unless a later date is stated or applicable law requires additional notice. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.

22. General Terms

These Terms, together with policies and consents expressly incorporated or accepted in connection with the Site, constitute the entire agreement between you and TopFundings concerning the Site. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. Headings are for convenience only.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, disputes, and general terms.
